We refer to the announcement on 2 May 2006.
Metacorp Berhad (“Metacorp” or the “Company”) wishes to announce that the
public shareholding spread of the Company based on the Record of Depositors
as at 10 March 2008 was 22.51%, representing a shortfall of 2.49% in meeting
the public shareholding spread requirement of 25% as stipulated in Paragraph
8.15(1) of the Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa
Securities”) (“Public Shareholding Spread Requirement”). The number of public
shareholders holding not less than 100 ordinary shares of RM0.50 each in Metacorp
was 5,553.
Consequently, the public shareholding spread of the Company has fallen below
the 24.85% accepted by Bursa Securities as compliance with Public Shareholding
Spread Requirement.
We refer to the Company’s announcement dated 26 February 2008, in which the
holding company of Metacorp namely, MTD Capital Bhd (“MTD”) had requested
the Company to be taken private via a selective capital repayment proposal
(“Proposal”) and MTD does not intend to maintain the listing status of Metacorp
after successful implementation of the Proposal.
In this regard, Metacorp is unable to maintain the Public Shareholding
Spread Requirement or consider any action to rectify its non-compliance with
the Public Shareholding Spread Requirement.
