We are pleased to announce that save for the following modification to
Resolution 12, all resolutions as set out in the notice of the
Twenty-Fourth Annual General Meeting of Metacorp Berhad dated 4
September 2007 were duly passed by the shareholders of the Company at
the Twenty-Fourth Annual General Meeting of the Company held today at
No. 26, Jalan 2/6, Dataran Templer, Bandar Baru Selayang, 68100 Batu
Caves, Selangor Darul Ehsan:-
Special Resolution
Proposed Amendments to the Articles of Association of the Company
To reinstate the existing Article 100(c) which was proposed to be
deleted and be re-numbered as Article 99(c). The new Article 99 shall
read as follows:
"Article 99 - Vacation of office of Directors"
The office of director shall become vacant if during his term of office,
the director:-
(a) ceases to be director by virtue of the Act;
(b) resigns his office by notice in writing under his hand sent to or
left at the office;
(c) absents from more than 50% of the total board of directors' meetings
held during a financial year;
(d) is removed from his office of director by resolution of the company
in general meeting of which special notice has been given;
(e) becomes of unsound mind or a person whose person or estate is liable
to be dealt with in any way under the law relating to mental disorder;
(f) becomes bankrupt or makes any arrangement or composition with his
creditors generally;
(g) becomes prohibited from being a director by reason of any order made
under the provisions of the Act or contravenes Section 130 of the Act.
(h) ceases to be qualified for any reasons to act as a director;
(i) is convicted by the court of law of any offence whether in Malaysia
or elsewhere in relation to the offences under the Act or the securities
laws as defined in the Listing Requirements.
