We refer to Bursa Malaysia Securities Berhad's ("Bursa Securities")
query letter dated 15 May 2006 (Ref No. : MN-060515-44371) which we
received on 17 May 2006 in relation to the article appearing in The
Edge, page 14, on Monday, 15 May 2006 in particular to the following
statement :
"...MTD Capital, ... is looking at taking the company private...."
Metacorp Berhad ("the Company") would like to clarify to Bursa
Securities that after having made due enquiry and to the best knowledge
of the Company, there is no intention to privatise the Company and the
Company is not aware of the source of the above said article.
This announcement is dated 17 May 2006.

We refer to the above article appearing in The Edge, page 14, on Monday,
15 May
2006, a copy of which is enclosed for your reference.
In particular, we would like to draw your attention to the underlined
sentence
which is reproduced as follows :
